Emile Khoury is a corporate and securities lawyer with experience representing companies in mergers and acquisitions, commercial finance, securities offerings, federal securities law compliance, commercial loan transactions, joint ventures, entity formations and general corporate matters.

Whether it's hiking, playing golf or going to a Giants game, I love being outdoors. Two of my favorite places to hike are Glacier National Park and Mount Rainier National Park. I'm hoping to get to even more national parks in the next few years.

Corporate Finance and Securities

  • Counsel to Molina Healthcare, Inc. (NYSE: MOH) in connection with the offer and sale by the company of $800 million aggregate principal amount of its 4.375% Senior Notes due 2028 and $650 million aggregate principal amount of its 3.875% Senior Notes due 2030
  • Company counsel to a real estate investment firm in its private placement of the equity securities of its real estate investment fund
  • Investor’s counsel in its purchase of the equity securities of a startup technology company specializing in skip tracing and collections software
  • Investor’s counsel in its purchase of the equity securities of a startup technology company specializing in autonomous software testing

Mergers and Acquisitions

  • Counsel to an environmental laboratory in its acquisition by a publicly held environmental services company
  • Counsel to two separate medical practices in their respective acquisitions by a private equity-backed medical group
  • Counsel to a rice marketing cooperative in its acquisition of a national agribusiness and food ingredient company’s rice milling and food extrusion business division
  • Counsel to a full service accounting and tax firm in a series of strategic acquisitions of tax preparation practices
  • Counsel to an automotive repair company in its acquisition of a specialty automotive body repair shop

Commercial Finance and Secured Lending

  • Counsel to Molina Healthcare, Inc. in connection with its $1 billion revolving credit facility
  • Counsel to an industrial equipment company in connection with its $300 million credit facility
  • Lender’s counsel in a $45 million secured loan transaction
