The Basics

The Tax Practice Group at Boutin Jones is the largest and most experienced group of tax attorneys in the region. The firm has assembled a multi-disciplinary team of federal, state and local tax experts including experts in income, estate and gift, sales and use, property, excise, employment and documentary transfer taxes. Our practice group provides all types of tax and estate planning advice, as well as representation of clients before the Internal Revenue Service, California Franchise Tax Board, California State Board of Equalization, California Employment Development Department and California County Boards of Equalization and Assessment Appeals Boards. Our group includes former employees of the Internal Revenue Service including an Office of Chief Counsel attorney and a senior estate and gift tax attorney, current and former certified public accountants, and attorneys who have LL.M. degrees in taxation.

Several members of our tax group have been practicing tax law for over 30 years. Because of our reservoir of experience, there are few roads we have not previously been on or near. This gives us a head start on most matters and allows us to offer experienced, practical, cost-effective advice.

We understand the tax and business implications of transactions and never allow tax considerations to override more important business considerations. While the major tax goal of most clients is to minimize income or estate and gift taxes, we plan for other taxes too, including property tax, sales and use tax and documentary transfer tax. We identify where the tax traps exist and seek to eliminate tax surprises for our clients, whether they decide to avoid the tax minefield or proceed through it. After identifying the tax issues, we assist in devising alternative strategies that assist our clients in maximizing the tax and nontax objectives. We meld the tax and nontax legal and business objectives of our clients into a cohesive plan that we execute, negotiate, implement and document. When appropriate, we provide Circular 230 opinions in order to provide penalty protection for our clients.

We advise clients, including private, public and nonprofit clients, on issues relating to major complex issues including mergers and acquisitions, business formations, operations, restructurings, reorganizations and dissolutions, executive compensation and real estate exchanges. We work collaboratively with investment bankers, appraisers, financial advisors, certified public accountants, real estate brokers, and other attorneys and advisors.

Tax Controversy

Our tax controversy practice emphasizes the resolution of federal, state and local tax disputes of all kinds including income, employment, franchise, estate, gift and excise taxes, real and personal property taxes and sales and use taxes.  We regularly appear in all administrative and judicial forums including federal and state trial and appellate courts.  We seek private letter rulings and technical advice from taxing authorities when appropriate.
